1) Eligibility & Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding contract.
• Account information must be accurate and kept up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
• We may refuse service, close accounts, or change eligibility requirements at any time where lawful.

2) Subscriptions, Trials, & Billing

• Plans & renewals: Paid plans renew automatically unless canceled. We’ll disclose pricing and renewal terms at checkout.
• Trials: If offered, trials convert to paid unless canceled before the trial ends.
• Billing: You authorize us and our payment processors to charge the payment method on file for fees, taxes, and applicable charges.
• Refunds: Unless required by law or stated otherwise in a specific offer, fees are non-refundable.
• Changes: We may modify prices or features on renewal. We’ll notify you in advance where required.

3) Acceptable Use

You agree not to misuse the Services. Prohibited actions include (non-exhaustive):

• Reverse engineering, scraping at scale, or circumventing technical protections.
• Sharing accounts, reselling, sublicensing, or providing the Services to third parties without authorization.
• Uploading malicious code or interfering with the stability or security of the Services.
• Using the Services for unlawful activities, including market manipulation, money laundering, or sanctions evasion.
• Infringing intellectual property or privacy rights.

4) Market Data, Content & No Investment Advice

• Data and content (including prices, charts, research, and signals) are provided “as is,” may be delayed or inaccurate, and are for informational/educational purposes only.
• Quantum Zherx does not provide investment, legal, tax, or accounting advice. Decisions based on content are made at your own risk.
• We may rely on third-party sources. Their terms may apply in addition to these Terms.

5) Integrations, APIs & Third-Party Services

• Optional integrations (e.g., brokers/exchanges) are provided “as available.” Your relationship with any third party is governed by their terms and privacy policies.
• API access (if provided) is subject to rate limits, security requirements, and separate documentation. We may suspend or revoke access to protect the Services.

6) Intellectual Property & License

• We and our licensors retain all rights, title, and interest in and to the Services and content. Trademarks, logos, and brand elements belong to their respective owners.
• Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes.
• Except as permitted by law, you may not copy, modify, distribute, or create derivative works based on the Services.

7) User Content & Feedback

• You are responsible for content you submit and must have necessary rights to it.
• By submitting content, you grant us a worldwide, royalty-free license to host, store, reproduce, and display it solely to operate and improve the Services.
• Feedback is voluntary and may be used by us without restriction or compensation.

8) Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Services, you acknowledge our privacy practices.

9) Security

We employ reasonable administrative, technical, and physical safeguards. However, no method is 100% secure. You are responsible for using strong passwords, maintaining device security, and promptly notifying us of suspected compromise.

10) Availability & Changes

• We may modify, suspend, or discontinue features or the Services (in whole or part) with or without notice, where lawful.
• We are not liable for outages, maintenance windows, or events beyond our reasonable control.

11) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM ZHERX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO QUANTUM ZHERX FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

13) Indemnification

You agree to defend, indemnify, and hold harmless Quantum Zherx and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your breach of these Terms or applicable law.

14) Compliance, Export & Sanctions

You must comply with applicable laws, including export control and sanctions regulations. You represent you are not subject to any sanctions or located in a restricted jurisdiction.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of <Jurisdiction>, without regard to its conflict of laws principles. Exclusive jurisdiction and venue shall lie in the courts located in <City, Jurisdiction>. • Severability: If any provision is unenforceable, the remainder remains in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign without our consent; we may assign as permitted by law.
